Items of Business:

(1) To elect nine (9) directors to serve on our Board of Directors ;

| (2) To approve the sale of substantially all assets of First Southern Bank (the “Bank”) to Community First Credit Union of Florida (“Community First”) and assumption by Community First of substantially all liabilities of the Bank (collectively, the “Asset Sale”). | ||
| (3) To approve the dissolution of the Company in accordance with a plan of dissolution following consummation of the Asset Sale. | ||
| (4) Our shareholders are being asked to approve the Adjournment Proposal. If this Adjournment Proposal is approved, the Annual Meeting may be adjourned to another time, if necessary or appropriate, to permit, among other things, further solicitation of proxies if necessary to obtain additional votes in favor of the Asset Sale Proposal and the Dissolution Proposal. If, at the Annual Meeting, the number of shares of Company common stock present or represented and voting in favor of the Asset Sale Proposal or the Dissolution Proposal is insufficient to approve such proposals, the Board intends to move to adjourn the Annual Meeting in order to solicit additional proxies for the adoption of the Asset Sale Proposal and the Dissolution Proposal. | ||
